Announcement of Stock Split and Partial Amendment to the Articles of Incorporation


Fuseki Inc. hereby announces that its Extraordinary General Meeting of Shareholders held on April 1, 2026, resolved to implement a stock split and a partial amendment to its Articles of Incorporation as follows:

1. Purpose of the Stock Split

The purpose of the stock split is to lower the investment unit amount, thereby improving the liquidity of the company’s shares and facilitating smooth fundraising activities.

2. Overview of the Stock Split

(1) Method of Split

Each common share held by shareholders recorded in the final register of shareholders as of the record date of April 26, 2026, will be split into 100 shares.

(2) Increase in Number of Shares Resulting from the Split

  • Total number of issued shares prior to the stock split: 10,000 shares

  • Number of additional shares resulting from the stock split: 990,000 shares

  • Total number of issued shares after the stock split: 1,000,000 shares

  • Total number of authorized shares after the stock split: 1,000,000,000 shares

(3) Schedule of the Stock Split

  • Public notice date of the record date: April 12, 2026

  • Record date: April 27, 2026

  • Effective date: April 27, 2026

3. Partial Amendment to the Articles of Incorporation

(1) Reason for the Amendment

In conjunction with the stock split mentioned above, Article 5 of the Articles of Incorporation will be amended by resolution of the Board of Directors pursuant to Article 184, Paragraph 2 of the Companies Act, in order to change the total number of authorized shares. The effective date of the amendment will be April 27, 2026.
